November, 2002 to present: Self-employed Business/Merger/Acquisition Consultant: Using my extensive professional and business background, I have been involved in analyzing, structuring and negotiating several business and real estate acquisitions as a consultant, including a large restaurant, a manufacturing company, and several retail establishments. Services included accounting and records review and analysis, business structure recommendations, employee benefit plans and ESOP buyouts and their potential use as purchase vehicles/organizations, tax review and recommendations, and general business advice. 1987 to November, 2002: Self-employed, Practicing Attorney, Tulsa, Oklahoma. From 1987 to early 1990, I practiced general law in Tulsa, handling all kinds of civil and criminal cases. From 1991 to 2001, I specialized in consumer bankruptcy and practiced primarily in the federal bankruptcy courts in Tulsa, Okmulgee and Oklahoma City, but also appeared in numerous bankruptcy courts in several surrounding states. Bankruptcy, by its nature, requires diverse knowledge and practical experience in property ownership, both real and personal, debt relief, domestic relations, business formation and structure, and a precise understanding of both state and federal laws, including tax law. I filed and successfully completed over 3,000 bankruptcies. I also authored 9 how-to manuals, aimed primarily at lawyers and the practice of law.
1984 to 1987: Merger & Acquisition Consultant, Jim Kost Enterprises, Inc., Denver, Colorado: Using my previous legal experience, I was a vice president in charge of mergers and acquisitions for this holding company based in Denver. My services included analyzing potential acquisitions, preparation of legal, accounting and purchase documents, real estate title searches, reporting to and counseling a Board of Directors, and was personal counsel to the President and CEO. In addition, I was in charge of contracting with outside attorneys and accountants, supervised an office staff of 10 persons, prepared initial drafts of public offering documents, and was Supervising Purchasing Agent for 5 separate companies plus the holding company.
1973 to 1984: Self-employed practicing attorney, general practice, Lincoln, Kansas: Practiced general law, including all kinds of civil and criminal actions, with extensive real estate title and closing experience. I was District Attorney from 1975 to 1979. During this time, I started numerous businesses for myself and others, including manufacturing companies, retail businesses, professional offices, and worked on and supervised numerous construction projects.
